Overview SeaRidge is a luxury residential resort development located in Hua Hin, Thailand.

SeaRidge offers 59 two, three and four bedroom detached villas, and 56 condominiums, on a 5.3 ha

(13.1 acre) site with views of the Gulf of Thailand to the east as well as the surrounding coastal mountains

to the west, south and north.

Project Site The site consists of a series of gentle ridges running roughly in a north – south

direction parallel to the sea. These ridges provide a natural terracing for the location of homes to maximise

the view potential of the Project. The site is partially surrounded on three sides, the south, west

and north by the mountain range that runs parallel to the coast. These mountain areas are part of a

government land reserve. As such, these lands cannot be developed or sold. This provides a development

barrier around a large portion of the site.

The site was used for agricultural purposes (pineapples) until it was purchased and cleared for the

SeaRidge Project. No development other than agriculture has previously been undertaken on the site.

A geotechnical assessment undertaken by a consultant retained by the developer concluded that the

site is suitable for residential development.

Project Offerings SeaRidge offers five villa and three condominium plans, each of which were

specifically designed for the SeaRidge Project. As a result, the villas have been designed specifically

to fit the layout, sizing, and positioning of the lots at SeaRidge. To maximise the sea views, the villas

have been designed with large windows on the main side of each villa facing the ocean. All of the

main rooms, including the living room and master bedroom, face the ocean. The master plan was

prepared so that all of the villas are oriented toward the ocean and therefore, maximise the available

Hua Hin, Thailand

Location & Access Hua Hin is a major tourism and resort destination 200 km (125 miles)

south of Bangkok on the west coast of the Gulf of Thailand. The permanent population of Hua Hin

municipality was 47,000 in 2005. The travel time from Bangkok to Hua Hin by road is presently

about 2.5 hours. This travel time will be reduced after the completion of a major highway upgrading

project in 2008. Convenient access to Hua Hin is also provided by five daily flights using commuter

aircraft.

Project Location SeaRidge is located within Hua Hin municipality 9 km (5.6 miles) south of

the town centre and 1,500 m (4,900 ft) from the beach. SeaRidge is 700 m (2,300 ft) west of Petchkasem

Road, the main north-south highway running through Hua Hin and north to Bangkok.

Hua Hin’s Special Status Although still relatively new to international visitors, this relaxed

seaside community has long been a Thai favourite. For over 75 years, Hua Hin has been the

resort home of the King of Thailand. As a result of this Royal presence, Hua Hin quickly became

the preferred vacation destination for Thai nobility and upper-class. This has continued through to

the present with Hua Hin being the most desirable location for vacation properties amongst affluent

Thais. Beyond this considerable prestige value, the Royal presence also gives Hua Hin special

status with respect to planning, environmental protection, government funding and public safety. For

example:

Hua Hin has the most comprehensive development controls of any resort area in the

country, which protects the town from the rampant overdevelopment that has adversely

affected other areas.

Hua Hin enjoys priority status in the determination of central government budgetary

allocations for infrastructure and local services.

Due to the large security presence associated with the Royal Family, Hua Hin is very

safe, with one of the lowest crime rates in Thailand.

International Tourism International visitors are increasingly discovering Hua Hin. In 2005,

international tourist visits were up over 16%, far greater than any other major resort in Thailand.

Owning Property

SeaRidge Villas

SeaRidge offers non-Thai purchasers two safe and secure tenure options for its villas; leasehold and

leasehold over land with direct villa ownership.

Option 1: Leasehold

Purchasers hold a 30 year lease over their lot and villa, with two options to renew for two additional

terms of 30 years each for a total of 90 years*. The lease agreement would allow purchasers to

convert to freehold ownership should direct ownership of land by non-Thai nationals be permitted

under Thai law over the term of the agreement.

Option 2: Leasehold of Land with Direct Ownership of Villa

Purchasers hold a 30 year lease over their lot, with two options to renew for two additional terms

of 30 years each for a total of 90 years*. As under Option 1, the lease agreement would allow

purchasers to convert to freehold ownership should direct ownership of land by non-Thai nationals

be permitted over the term of the agreement. Since there is presently no legal restriction on the

ownership of buildings by non-Thai nationals, purchasers would directly own their villa and all other

structures on their lot under this option. Ownership of the villa will be registered with the municipal

government.

SeaRidge Condominiums

SeaRidge offers non-Thai purchasers two safe and secure tenure options for its condominiums;

direct ownership and leasehold.

Option 1: Direct Ownership

Under Thai law, up to 49% of the total floor area in a condominium development can be directly

owned by non-Thai nationals. Therefore, legal title is registered in the name of the individual owner.

We still have units available for purchase under this structure.

Option 2: Leasehold

The remaining 51% of the condominium development is required to be owned by Thai nationals

and/or Thai companies. However, non-Thais may secure tenure through a leasehold structure with

the developer. As for the SeaRidge Villas, the lease term would be 30 years with two additional terms

of 30 years each for a total of 90 years.

Costs of Ownership

Costs of ownership have been outlined previously within this document, please find to follow

additional detail pertaining to these costs and taxes.

Tax on Rental Returns

Personal income tax rates do not generally apply to rental income. Instead, a withholding tax is

applied 5% if paid in Thailand, 15% if paid directly overseas. The taxpayer may, at his/her option,

then file an income tax return at the end of the calendar year to determine the actual rate of tax

based on personal income tax rates. The difference between the withholding already paid would

then be paid or refunded.

Taxes & Fees Upon Sale

Taxes and fees presently applicable upon sale are:

Personal income tax on the total sales price less, where the taxable gain is based on

book value (ie, net of accumulated depreciation on building) a deduction that varies

according to the years of ownership. For example, if ownership was held for 1 year

or less, a 92% deduction is applied, so personal tax rate is applied on 8% of the sales

price. The deduction would drop in stages to 50% after 5 years and remain constant

thereafter. The personal tax rate applied would vary up to 37% depending on taxable

income.

Business Specific Tax of 3.3% of the declared sales value* if sale is within 5 years of

purchase. If more than 5 years, 0.1% stamp applies instead.

Government transfer fee of 2% of declared sales value* which is normally split equally

between buyer and seller.

* Declared sales value for properties in Hua Hin is typically in the range of 70% of actual sales price although this does vary

between individual properties.
